Decision to appoint Christulf BVBA, represented by its permanent representative Mr. Christian Dewulf as independent director
On recommendation of the Nomination & Remuneration committee the Board decided to propose to the Shareholders' meeting of 13 May 2014 the appointment of Christulf BVBA, represented by its permanent representative Mr. Christian Dewulf, as independent director in compliance with the law of 17 December 2008 and the company's Corporate Governance Code - for a period of 3 years.
In order to be able to formulate this decision the Board applies the following criteria to consider the independency of a director:
company or in an affiliated company or person, and do not meet one of the criteria in the criteria mentioned above.
The Board has determined that Christulf BVBA, represented by its permanent representative Mr. Christian Dewulf complies with all criteria and thus can be considered as an independent director.
The Board of Directors unanimously decided that all criteria are met and proposes to the Shareholders' Meeting the appointment of Christulf BVBA, represented by its permanent representative Mr. Christian Dewulf, as independent director – in compliance with the law of 17 December 2008 and the company's Corporate Governance Code - for a period of 3 years, ending at the occasion of the Shareholders' Meeting of 2017.
Mr. Dewulf will also participate to the Audit committee and possesses the necessary expertise thanks to his extensive experience gathered during his long professional career in Belgium and abroad.
Christian Dewulf (64) is of Belgian nationality and has a long industrial and financial career that started in the automotive sector. After a 3-year experience in the banking sector followed a switch to Picanol N.V. Ypres. Since 2009 to date, Christian Dewulf is active through his company Christulf BVBA.
He is also Director and President of the Board at other companies and non-profit associations.
