Publication of a transparency notification

(Article 14, first paragraph of the Law of 2 May 2007 on disclosure of major holdings)

1. Summary of the notifications

Campine NV has received transparency notifications signed on 31 March 2017 indicating that the shareholder of Camhold NV, a holder of 36% of Campine NV has changed.

Mr. André Hempel held 100% of the shares of Camhold NV and by virtue of the acquisition of the shares in Camhold NV by Hempel Special Metals Holding GmbH, the latter will indirectly hold the 36% of the voting rights in Campine NV. Hempel Special Metals Holding GmbH is controlled by F.W. Hempel & Co. Erze & Metalle (GmbH & Co) KG who is also shareholder of F.W. Hempel Intermétaux SA which already held 35,86% of the voting rights of Campine NV prior to this transaction.

Campine NV received another notification signed on 11 April 2017 indicating that the shareholder F.W. Hempel Intermétaux SA, holder of 35,86% of shares in Campine NV has transferred its shareholding to F.W. Hempel Metallurgical GmbH, its direct parent company.

Therefore the ultimate controlling shareholder, Mr. Friedrich Wilhelm Hempel has crossed the threshold of 70% of the voting rights in Campine NV.

2. Content of the notification in respect of Camhold NV

The two notifications signed on 31 March 2017 contain the following information:

Respectively the acquisition or the transfer of the control over a company that holds a participation in Campine NV.

One notification is by Mr. André Hempel who notifies alone and the other notification is by a controlling person.

The persons subject to the notification requirement are:

On the one hand, Mr. André Hempel alone.

On the other hand, Mr. Friedrich-Wilhelm Hempel as controlling person and the companies Camhold NV, F.W. Hempel Intermétaux SA, Hempel Special Metals Holding GmbH and F.W. Hempel & Co. Erze und Metalle (GmbH & Co) KG as companies via which he holds the participation in Campine NV.

The transaction date is 24 March 2017, but the actual transfer of the shares in Camhold NV is still subject to the fulfilment of several conditions precedent, which are expected to be completed in the next two or three months.

The indirect participation of Mr. André Hempel falls to zero, i.e. below the threshold of 5% and the participation of Mr. Friedrich-Wilhelm Hempel passes the threshold of 70%. The denominator is 1,500,000 shares.

3. Content of the notification in respect of F.W. Hempel Intermétaux SA

The notification signed on 11 April 2017 contains the following information:

The transfer of a participation in Campine NV by F.W. Hempel Intermétaux SA to its parent company.

The persons subject to the notification requirement are:

F.W. Hempel Intermétaux SA and F.W. Hempel Metallurgical GmbH as well as Mr. Friedrich-Wilhelm Hempel as controlling person and the companies Camhold NV, F.W. Hempel Metallurgical Holding GmbH, Hempel Special Metals Holding GmbH and F.W. Hempel & Co. Erze und Metalle (GmbH & Co) KG as companies via which he holds the participation in Campine NV.

The transaction date is 10 April 2017.

The participation of F.W. Hempel Intermétaux SA falls to zero, i.e. below the threshold of 5% and the participation of Mr. Friedrich-Wilhelm Hempel remains slightly above 70% as a result of the transaction described under 2 above.

The denominator is 1,500,000 shares.

Chain of controlled undertakings through which the holding is effectively held:

Hempel Special Metals Holding GmbH is the only shareholder of Camhold NV which holds shares in Campine NV. Hempel Special Metals Holding GmbH is a subsidiary of F.W. Hempel & Co. Erze und Metalle (GmbH & Co) KG. Friedrich-Wilhelm Hempel is the ultimate controlling shareholder of this group.

F.W. Hempel Intermétaux SA also forms part of the group of companies of which F.W. Hempel & Co. Erze und Metalle (GmbH & Co) KG is the parent company. But, as set out above, F.W. Hempel Intermétaux SA transferred its shareholding in Campine NV to its direct parent company, F.W. Hempel Metallurgical GmbH of which F.W. Hempel & Co. Erze und Metalle (GmbH & Co) KG is equally the parent company with Mr. Friedrich-Wilhelm Hempel as ultimate controlling shareholder.
