Publication of a transparency notification in in agreement with Article 14, first paragraph of the Law of 2 May 2007 on disclosure of major holdings

1. Summary of the notifications

Campine NV received on 5 September 2018 a notification from Hempel Special Metals Holding GmbH which reflects that the participation in Campine NV held by Camhold NV (36%) automatically transferred to its parent company Hempel Special Metals Holding GmbH due to the dissolution and liquidation of Camhold NV. Since the acquisition on 12 April 2017 of the shares in Camhold NV by Hempel Special Metals Holding GmbH, the latter already indirectly held these 36% of the voting rights in Campine NV.

The notification dated 5 September 2018 contains the following information:

Respectively the acquisition or the transfer of the control over a company that holds a participation in Campine NV.

• Notification by:

Parent companies and the controlling person.

• The persons subject to the notification requirement:

Mr. Friedrich-Wilhelm Hempel as controlling person and the companies Hempel Special Metals Holding GmbH , F.W. Hempel Metallurgical GmbH, F.W. Hempel Metallurgical Holding GmbH and F.W. Hempel & Co. Erze und Metalle (GmbH & Co) KG as companies via which he holds the participation in Campine NV.

• Transaction date:

The transaction date is 5 September 2018.

• Passed threshold

The threshold of 35% was passed by Hempel Special Metals Holding GmbH.

The participation of Camhold falls to zero. Friedrich-Wilhelm Hempel remains the ultimate controlling shareholder of this group.

• Denominator:

The denominator is 1,500,000 shares.

Hempel Special Metals Holding GmbH is a subsidiary of F.W. Hempel & Co. Erze und Metalle (GmbH & Co) KG who is equally the parent company of F.W. Hempel Metallurgical SA, which holds 35,86% of the voting rights in Campine NV. Friedrich-Wilhelm Hempel remains the ultimate controlling shareholder of this group.
