BARCO - RESULTS OF OPTIONAL DIVIDEND

Shareholders opted to contribute 58.61% of their dividend rights for the 2021 financial year for subscription to new ordinary shares. This leads to a capital increase of EUR 14.63 million

Kortrijk, Belgium, 7 June 2022, 18.00 hrs – Today Barco announces that at closing of the optional dividend on 3 June 2022, a total of 58.61% of dividend rights over the 2021 financial year were contributed towards the issue of 746,390 new ordinary shares for a total amount of EUR 14.63 million.

The new shares will be of the same type as the existing shares and will participate in the results for the full financial year that started on 1 January 2022.

On 9 June 2022 the optional dividend will be effectively settled according to the choice of the shareholders and, subject to completion of the capital increase, the new shares will be admitted to trading on Euronext Brussels.

As of 9 June 2022, Barco's capital will be represented by 92,916,645 ordinary shares. Each of these shares grants one vote at the general meeting. The aforementioned total number of shares will then represent the denominator for notification purposes under the transparency regulations. As Titan Baratto NV and 3D NV, the reference shareholders of Barco, have opted for payment of the optional dividend in shares for 100% of their participations, they will hold respectively 20,162,824 shares or 21.70% and 4,808,391 shares or 5.17% of the share capital.

This capital increase raises Barco's equity by EUR 14.63 million compared to a situation where the dividend would have been paid exclusively in cash.
