Reference is made to public announcement today regarding the acquisition of Helgesen Tekniske Bygg AS (HTB). According to the authorisation given by the general meeting 9 May 2018, the Board of Directors in AF Gruppen ASA (AFG) has decided to perform a share issue of 189,723 shares as a private placement to the sellers of shares in HTB. The subscription price will be NOK 126.50 per share and nominal value per share is NOK 0.05.

The share issue will increase the share capital in AF Gruppen by NOK 9,486.15 to NOK 4,950,458.95. The total number of shares outstanding after this share issue will be 99,009,179.

A new certificate of registration will be submitted to Oslo Stock Exchange when it is available.
