Mowi ASA – Acquisition of K. Strømmen Lakseoppdrett AS

With reference to the stock exchange announcement on 19 July 2019,  Mowi is

pleased to announce that the acquisition of 100 % of the shares in K. Strømmen

Lakseoppdrett AS from K. Strømmen Holding AS has been completed today.

As previously announced 30% of the purchase price shall be settled through the

issuance of new shares in Mowi and the board of directors of Mowi has today

resolved to issue 1,071,372 new shares to K. Strømmen Holding AS at a

subscription price of NOK 226.7855 per share. The subscription price corresponds

to the volume weighted average trading price of the company's shares on Oslo

Børs on the five business days prior to the closing date.

Following the registration of the share capital increase in the Norwegian

Register of Business Enterprises, Mowi will have a share capital of NOK

3,878,333,182.50 divided into 517,111,091 shares, each with a par value of NOK

7.50.
