Share issue – employees buys shares

Reference is made to announcement 13 March 2020 regarding employees exercising share options in AF Gruppen ASA. According to the Power of Attorney given by the Extraordinary General Meeting 02.04.2020, the Board of Directors in AF Gruppen today has decided to perform a share issue of 2,217,994 shares as a private placement to employees at the company in order to exercise all outstanding share options. The subscription price for 2,147,061 shares will be NOK 139.90 per share and for 70,933 shares the subscription price will be NOK 157.50. The total value of the share issue is NOK 311,545,781.40.

The share issue will increase the share capital in AF Gruppen by NOK 110,899.70 to NOK 5,264,163.55. The total number of shares outstanding after this share issue will be 105,283,271.

Through this share issue, 913 AF employees buys 2,217,994 shares in AF Gruppen ASA.

A new certificate of registration will be submitted to Oslo Stock Exchange when it is available.
