Axactor ASA: Amendment to bondholders' summons

Oslo, Norway - 24 August 2023 - Axactor ASA FRN senior unsecured EUR 400,000,000

bonds 2021/2026 with NO0011093718 (the "Bond Issue"). Reference is made to the

summons to a Bondholders' Meeting in the Bond Issue published on 17 August 2023

(the "Initial Summons"). Following discussions between the Issuer and certain

Bondholders in advance of the Bondholders' Meeting, the Issuer has agreed to

make certain amendments to the amendment fee (as described in Clause 4

(Amendment fee) of the Initial Summons) by increasing the amendment fee from

0.25% of the Nominal Amount of the Outstanding Bonds to 0.50% of the Nominal

Amount of the Outstanding Bonds. As the proposed amendments constitute an

improvement of terms for the Bondholders (compared to the Initial Summons), the

original Bondholders' Meeting date and time, being 31 August 2023 at 13:00 hours

(Oslo time), is maintained. All capitalised terms used, but not defined herein,

shall have the same meaning assigned to them in the bond terms between the

Issuer and the Bond Trustee dated 10 September 2021.
