Tesmec S.p.A.: Messa a disposizione del Verbale del Consiglio di Amministrazione dell'8 settembre 2015

Grassobbio (Bergamo), 06 ottobre 2015 – Tesmec S.p.A. (MTA, STAR: TES), tra i principali player mondiali in grado di offrire soluzioni integrate per infrastrutture relative al trasporto di energia elettrica, dati e materiali, rende noto che il Verbale della deliberazione adottata dal Consiglio di Amministrazione della Società dell'8 settembre 2015 che ha approvato all'unanimità dei presenti, ai sensi dell'art. 19 dello Statuto Sociale e dell'art. 2505 del Codice Civile, l'operazione di fusione per incorporazione della società, controllata al 100%, Tesmec Service S.r.l. nella controllante Tesmec S.p.A., è stato messo a disposizione del pubblico mediante il meccanismo di stoccaggio autorizzato NIS-Storage, accessibile dal sito , mediante pubblicazione sul sito internet della Società www.tesmec.com e presso le sedi legale e operativa della Società.

Il Gruppo è in grado di offrire:

Tesatura:

• macchine e sistemi integrati per la tesatura aerea e interrata di reti elettriche e cavi in fibra ottica;
• soluzioni integrate per l'efficientamento, la gestione e il monitoraggio delle reti elettriche di bassa, media e alta tensione (soluzioni per reti intelligenti).

Ferroviario:

macchine e sistemi integrati per l'installazione, la manutenzione e la diagnostica della catenaria ferroviaria, oltre a macchine personalizzate per operazioni speciali sulla linea.

Trencher:

• macchine trencher cingolate per lo scavo a sezione obbligata ad alta efficienza destinate alla realizzazione d'infrastrutture per il trasporto dati, materie prime e prodotti sia gassosi che liquidi in vari settori: energia, agricoltura, chimica e pubblica utilità;
• macchine trencher cingolate per lavori in miniere di superficie e opere di sbancamento (RockHawg);
• servizi di consulenza e di scavo specializzati su richiesta del cliente;
• macchine da cantiere multifunzionali (Gallmac).

Tutti i business sono sviluppati in accordo alla filosofia ISEQ (Innovazione, Sicurezza, Efficienza e Qualità), nel rispetto della sostenibilità ambientale e del risparmio energetico.

Il know-how maturato nello sviluppo di tecnologie specifiche e soluzioni innovative e la presenza di un team di ingegneri e tecnici altamente specializzati consentono al Gruppo Tesmec di gestire direttamente l'intera catena produttiva: dalla progettazione, produzione e commercializzazione dei macchinari, alla fornitura del know-how relativo all'utilizzo dei sistemi e all'ottimizzazione del lavoro, fino a tutti i servizi pre e post vendita connessi ai macchinari e all'efficientamento dei cantieri. Tesmec S.p.A.: Minutes of the Board of Directors Meeting held on September 8, 2015

Grassobbio (Bergamo - Italy), 6 October 2015 – Tesmec S.p.A. (MTA, STAR: TES), among the main global players offering integrated solutions for infrastructures related to transmission of electrical power and data and material transport, announced that the Minutes of the Board of Directors Meeting held on September 8, 2015 that unanimously approved the merger by incorporation of Tesmec Service S.r.l. in the fully parent company Tesmec S.p.A., pursuant to Article 19 of the Articles of Association and to Article 2505 of the Italian Civil Code, is available to the public through the system NIS-Storage, at , through publication on the website www.tesmec.com and deposited at Tesmec SpA registered and operating office.
