Tesmec S.p.A.: Informativa sull'acquisto di azioni proprie

Grassobbio (Bergamo), 25 gennaio 2016 – Tesmec S.p.A. (MTA, STAR: TES), nell'ambito dell'autorizzazione all'acquisto di azioni proprie deliberata dall'Assemblea del 30 aprile 2015 (già oggetto di informativa ai sensi dell'art. 144 bis del Regolamento Consob 11971/99), comunica che nel periodo dal 18/01/2016 al 22/01/2016 inclusi, ha complessivamente acquistato n. 193.230 azioni ordinarie (pari allo 0,18% del Capitale Sociale) al prezzo unitario medio di Euro 0,5334 (al netto delle commissioni), per un controvalore complessivo di Euro 103.068,78.

Si riportano nella tabella sottostante i dettagli relativi alle operazioni di acquisto su base giornaliera:

In data odierna la Società detiene un totale di n. 4.425.827 azioni proprie, pari al 4,13% del Capitale Sociale.

Le operazioni di acquisto: i) sono state eseguite da un intermediario incaricato di coordinare il programma di acquisto di azioni proprie in piena indipendenza e senza essere influenzato per quanto riguarda il momento degli acquisti; e ii) sul Mercato Telematico Azionario (MTA), secondo le modalità previste dall'art. 132 del D. Lgs. n. 58/98 e dell'art. 144 bis del Regolamento Consob n. 11971/99.

Con riferimento alle disposizioni di cui al Regolamento (CE) n.2273/2003, si rileva inoltre che i quantitativi giornalieri di acquisto non eccedono il 25% del volume medio giornaliero degli scambi del titolo Tesmec S.p.A. nei 20 giorni di negoziazione precedenti la data di acquisto.

Tesmec S.p.A.: disclosure regarding purchase of treasury shares

Grassobbio (Bergamo - Italy), 25 January 2016 – Tesmec S.p.A. (MTA, STAR: TES), pursuant to the authorization to purchase treasury shares deliberated by its Shareholders Meeting of 30 April 2015 (previously subject to disclosure for purposes of Art. 144 bis of Consob Regulation 11971/99), hereby reports that in the period from 18/01/2016 to 22/01/2016 inclusive, it purchased a total of n. 193,230 ordinary shares (equal to 0.18% of its Share Capital) at the average unit price of Euro 0.5334 (net of commissions), for a total counter-value of Euro 103,068.78.

The following table presents details of purchases on a daily basis:

As of today, the Company holds a total of 4,425,827 treasury shares, equal to 4.13% of the Share Capital.

As required by Art. 132 of Italian Legislative Decree no. 58/98 and by Art. 144 bis of Consob Regulation 11971/99, purchases were conducted on regulated markets according to the methods specified in the organization and management rules of such markets, which prohibit direct linking of offers to buy with certain offers to sell.

Purchase transactions: i) have been performed by an intermediary which coordinates the program for purchase of own shares in a independent manner and without influence as regards the time of purchase, and ii) on the Mercato Telematico Azionario (MTA), according to Art. 132 of Decree No 58/98 and Art. 144 bis of Consob Regulation 11971/99.

With reference to the provisions of EC Regulation no. 2273/2003, the Company also reports that daily purchase do not exceed 25% of the average daily trading volume of Tesmec S.p.A. shares on the 20 trading days preceding the date of purchase.
