Banca IFIS: Interbanca's Extraordinary Shareholders' Meeting approves the merger by incorporation into Banca IFIS

Milan, 6 September 2017 - Interbanca's Extraordinary Shareholders' Meeting met today and approved the plan for the merger by incorporation of Interbanca S.p.A. into Banca IFIS S.p.A.

The Interbanca S.p.A. merger project was approved by Banca IFIS's Board of Directors on 10 July 2017, together with IFIS Factoring S.r.l.'s merger plan.

The next step will be the merger itself of Interbanca S.p.A. into Banca IFIS S.p.A., scheduled for October 2017. IFIS Leasing S.p.A. will be merged into Banca IFIS during 2018.

"Interbanca's integration is fast-paced with evidence of better performance than expected" said Giovanni Bossi, Banca IFIS's C.E.O., who pointed out that "Interbanca's results at 30 June 2017 already showed a profit". Mr. Bossi went on to say that "Integration of the various IT systems is planned for October, in line with the merger's timeframe, and will simplify operating processes."

The Minutes of the Extraordinary Shareholders' Meeting will be available at the registered offices of both Banca IFIS S.p.A. and Interbanca S.p.A. It will also be available on the company's web site http://www.bancaifis.it and in the authorized storage systems, and , within the terms and conditions established by laws in force.
