Emak cede il 100% del capitale sociale di Raico S.r.l. a Kramp

Bagnolo in Piano (RE), 6 marzo 2018 – Emak S.p.A. (MTA, STAR), società a capo di uno dei maggiori gruppi a livello globale nei settori dell'outdoor power equipment, delle pompe e del water jetting, e dei relativi componenti ed accessori, annuncia di aver sottoscritto in data odierna un accordo vincolate per la cessione a Kramp S.r.l., controllata italiana con sede a Reggio Emilia del Kramp Groep, leader europeo nella distribuzione di ricambi e accessori per il settore agricolo, del 100% del capitale sociale di Raico S.r.l.. Tale accordo prevede un corrispettivo di 5,5 milioni di euro.

Raico è specializzata nella distribuzione di componenti e accessori per trattori agricoli, macchine industriali e movimento terra, con un fatturato pari a circa 12,8 milioni di Euro, un Margine Operativo Lordo pari a 0,5 milioni di euro e una posizione finanziaria netta passiva di 0,7 milioni di euro al 31 dicembre 2017. L'offerta vincolante prevede che il completamento dell'operazione sia soggetto a condizioni e impegni usuali per tale tipologia di operazioni. Il closing dell'operazione, con il pagamento ed il passaggio delle quote, è previsto entro la fine del corrente mese di marzo.

Kramp ha attualmente un ufficio commerciale a Reggio Emilia e i prodotti per il mercato italiano vengono consegnati dal magazzino logistico tedesco. Emak sells 100% of Raico S.r.l. share capital to Kramp

Bagnolo in Piano (RE), 6 March 2018 – Emak S.p.A. (MTA, STAR), parent company of one of world major groups working in the sectors of outdoor power equipment, pumps and water jetting, and of the related components and accessories, announces that today has signed a binding agreement for the sale to Kramp S.r.l., Italian subsidiary headquartered in Reggio Emilia of the Kramp Groep, a European leader in the distribution of spare parts and accessories for the agricultural sector, of 100% of the share capital of Raico Srl. This agreement provides for a consideration of 5.5 million euros.

Raico is specialised in the distribution of spare parts and accessories for agricultural tractors, industrial and construction machines, with a turnover of around 12.8 million Euro, EBITDA of 0.5 million Euro and a net negative financial position of 0.7 million Euro at 31 December 2017.

The binding offer sets out that the closing is subject to the usual obligations and conditions typical for such a deal. Closing is expected within the current month of March.

Kramp currently has a sales office in Reggio Emilia and the products for the Italian market are delivered from the German warehouse.
