• COMMUNICATION OF THE RATING SOLICITED "B1.2" BY CERVED RATING AGENCY

Grassobbio (Bergamo - Italy), 21 April 2020 – Tesmec S.p.A. (MTA, STAR: TES) ("Tesmec" or the "Company"), at the head of a group leader in the market of infrastructures related to the transport and distribution of energy, data and material, announced that the Call for the Shareholders' ordinary and extraordinary meeting at Studio Notarile SNPZ Notai a Milano, in Milan, Piazza della Repubblica 28, on 21 May 2020, at 10:30 a.m., in single call, is available to the public through the system eMarket-Storage, at , through publication on the website of Borsa Italiana S.p.A. and the website of the Company www.tesmec.com. The following documents are also available to the public at Tesmec S.p.A. administrative office, in Grassobbio (BG) - Via Zanica 17/O, through the system eMarket-Storage, at , through publication on the website of Borsa Italiana S.p.A. and the website of the Company www.tesmec.com: Directors' report on the draft resolutions submitted to the Ordinary Shareholders' Meeting and the Proxy Forms for the Appointed Representative.

Tesmec announces also that has made available to the public at the administrative office of the Company in Grassobbio (Bergamo - Italy), Via Zanica 17/O, on the Tesmec website www.tesmec.com, on the authorized storage mechanism eMarket-Storage, at address , as well as at Borsa Italiana S.p.A. (Milan, Piazza degli Affari, 6) the information document concerning the transaction of greater importance with the related party MTS -Officine Meccaniche di Precisione S.p.A. prepared pursuant to Article 5 of the Related Parties Procedure and Article 5 of the Related Parties Regulation, along with the other attached documents (the opinion of the Related Parties Committee and the essential elements of the opinion of Partners as independent expert commissioned by such Committee).

In addition to that Tesmec announced that Cerved Rating Agency, the Italian rating agency specialized in the credit rating assessment of non-financial businesses, announced the solicited rating "B1.2" of the Company. This evaluation confirms the solvency of Tesmec Group and it is the result of an analytic process which combines rigorous quantitative models of credit risk forecast and accurate qualitative studies of analysts, considering also the competitive positioning of the Company in the sector.
