La Scogliera S.p.A. reports that the Company's extraordinary shareholders' meeting has today resolved, by favourable vote of 98% of the share capital with voting rights (excluding 0,4% treasury shares from the calculation), in favour of transferring the Company's registered office to the canton of Vaud (Lausanne - CH).
The transfer will take place without interrupting the existing contracts, without dissolving the Company and without establishing a new entity.
The effectiveness of the transfer is subject to certain conditions being met and, in particular, to the absence of any provisions or extraordinary events such as to invalidate or make more burdensome the execution of the transfer and to the obtaining of a favourable opinion by the Revenue Agency on the tax consequences of the transfer.
It is envisaged that the transfer of the registered office will take place, subject to the satisfaction of the conditions precedent envisaged and upon successful completion of all legal requirements, by the end of this year, at which point the Company will consequently be excluded from the prudent scope of consolidation of the subsidiary Banca Ifis.
The transfer will not affect the listing of Banca Ifis on the Italian stock exchange nor on the Group's perimeter, which will remain localised in Italy and will not change as a result of the transfer.
The Company's CEO, Ernesto Fürstenberg Fassio, commented: "It is a choice driven for personal reasons of the Chairman, which leaves the roots unaltered, as well as the presence of
the Bank in Italy and that could also allow for an improvement of its equity position. The majority shareholder confirms the long-term vision, the commitment to strengthening the Group's stability in order to achieve new successes, without, at the same time, abandoning the identity and the roots of Banca Ifis in Italy, which is a key market for its future".
The Company will notify the market of the relevant information concerning the satisfaction of the conditions, in compliance with the applicable legislative and regulatory provisions.
