Comet S.p.A. conclude l'acquisizione di Poli S.r.l.

Bagnolo in Piano (RE), 4 ottobre 2021- Emak S.p.A. (MTA, STAR) annuncia che la propria controllata Comet S.p.A. ha completato l'acquisizione dell'80% di Poli S.r.l., società attiva nella produzione e commercializzazione di motospazzatrici.

I termini dell'operazione sono invariati rispetto a quanto annunciato nel comunicato stampa del 28 giugno 2021 in occasione della firma del contratto.

Il prezzo iniziale è stato confermato in 5,7 milioni di euro, inclusa la cassa di 2 milioni di euro, e sarà oggetto di aggiustamento sulla base dei risultati di Poli S.r.l. al 31/12/2021.

Sulla rimanente quota del 20%, che sarà detenuta dal fondatore della società, sono state concordate opzioni put e call con scadenza a partire dal terzo ed entro il quinto anno dal closing.

Comet S.p.A. closes the acquisition of Poli S.r.l.

Bagnolo in Piano (RE), 4 October 2021- Emak S.p.A. (MTA, STAR) announces that its subsidiary Comet S.p.A. has completed the acquisition of 80% of Poli S.r.l., active in the production and marketing of motorsweepers.

The terms of the transaction are unchanged from what was announced in the press release of June 28, 2021 on the occasion of the signing of the contract.

The initial price was determined at € 5.7 million, including the cash of € 2 million, and will be subject to adjustment based on the results of Poli S.r.l. at 31/12/2021.

Put and call options have been negotiated for the remaining 20%, which will be held by the founder of the company, with maturity starting from the third and within the fifth year of closing.
