Composition of Kojamo plc's Nomination Board

Kojamo plc Stock Exchange Release 13 September 2024 at 2:30 p.m. EEST Composition of Kojamo plc's Nomination Board Kojamo plc's three largest shareholders have nominated the following members to the Shareholders' Nomination Board: · Christian Fladeland, Co-CEO, Heimstaden AB · Jouko Pölönen, CEO, Ilmarinen Mutual Pension Insurance Company · Risto Murto, CEO, Varma Mutual Pension Insurance Company Christian Fladeland was elected to act as the Chairman of the Nomination Board. In addition, the Chairman of Kojamo's Board of Directors, will serve as the Nomination Board's expert member. The right to nominate representatives is vested with the three shareholders of the Company having the largest share of the votes represented by all the shares in the Company annually on the first workday of September. The nomination right is based on the Company's shareholder register maintained by Euroclear Finland Ltd, the notifications of the holders of nominee-registered shares, or the notifications regarding disclosure obligations. Shareholders' Nomination Board is an organ established by the General Meeting consisting of shareholders to prepare and present annually proposals for the General Meeting concerning the number, composition, Chairman of the Board of Directors, remuneration of the Board of Directors and remuneration of the members of the Board Committees.
