A.S. Création Tapeten AG: Shareholders’ Meeting approves record dividend and composition of the new Supervisory Board

Création Tapeten AG, Gummersbach (ISIN DE0005079909) Shareholders’ Meeting approves record dividend and composition of the new Supervisory Board A.S. Création Tapeten AG, Europe’s leading wallpaper manufacturer, today held its General Meeting of Shareholders in Gummersbach/Germany. Against the background of the successful fiscal year 2005, in which both Group sales and net profit reached new all-time highs of EUR 145.3 million (2004: EUR 132.1 million) and EUR 7.7 million (2004: EUR 6.6 million), respectively, the Shareholders’ Meeting decided that a dividend of EUR 1.25 per dividend-bearing share be paid out to the shareholders. This is the highest dividend paid out by A.S. Création Tapeten AG since its IPO. The General Meeting of Shareholders thanked all employees of A.S. Création for their strong commitment, which allowed the company to achieve such excellent results. Discharge of the acts of the Managing Board and the Supervisory Board in 2005 was granted by a vast majority of the shareholders. Given that the term of office of all Supervisory Board members ended at the end of today’s Shareholders’ Meeting, the new Supervisory Board was elected. The former Vice Chairman of the Supervisory Board, Hans-Georg Graf von Rittberg, did not stand for re-election. The other members of the Supervisory Board, Ms Jella Susanne Benner-Heinacher, Dr. Rüdiger Liebs and Mr Franz Jürgen Schneider, were re-elected for a term of five years. Dr. Dieter Schadt was elected new member of the Supervisory Board. Prior to the Shareholders’ Meeting, the company’s employees had already re-elected Mr Rolf Schmuck and Mr Peter Mourschinetz as their representatives on the Supervisory Board. At the constituent meeting of the Supervisory Board that followed the Shareholders’ Meeting, Mr Schneider and Dr. Liebs were elected Chairman and Vice Chairman, respectively, of the new Supervisory Board.
