SPORTTOTAL AG Capital Increase Fully Placed
Cologne, September 11, 2018. SPORTTOTAL AG has placed the capital increase from Authorized Capital announced yesterday. With the approval of the Supervisory Board, the company’s Management Board decided to raise the capital stock by up to EUR 2,142,052.00 to the exclusion of shareholder subscription rights. The capital increase was oversubscribed.
In the context of the capital increase, the company’s capital stock is to be raised from currently EUR 21,420,529.00 by EUR 2,142,052.00 against cash contribution through issuing new no-par value bearer stocks representing a pro rata amount in the capital stock of EUR 1.00 per stock (“New Shares”). The price per share was fixed by the company at EUR 1.76. The gross issuing proceeds amount to about EUR 3.77 million. The New Shares are eligible for profit participation from January 1, 2018 onward.
The New Shares were offered to qualified institutional investors, both in Germany and in other EU countries, in the context of a private placement by way of accelerated bookbuilding.
After entry into the commercial register and admission to trading, the New Shares will be included in SPORTTOTAL AG’s current listing in the General Standard segment on the regulated market of the Frankfurt Stock exchange.
SPORTTOTAL AG intends to use the proceeds from the capital increase to finance the further expansion of its subsidiary sporttotal.tv gmbh.
