Election of members to the Board of Directors

The Board of Directors proposes the re-election of Jens Bager, N.E. Nielsen, John Stær and Mikael Worning and the election of new members Jesper Funding Andersen, CEO of Origio A/S, and Allan Søgaard Larsen, CEO of Falck A/S. Details about the individual candidates

Jens Bager, born 1959 President and CEO of ALK-Abelló A/S Member of the Board since 2010 Board member of: DBV Technologies S.A. (France) Odin Equity Partners Special competences: General management with focus on international sales and marketing as well as acquisitions within the ingredients industry and pharmaceuticals.

N.E. Nielsen, born 1948 Attorney-at-law Chairman of the Board Member of the Board since 1999, re-elected in 2008 Chairman of the board of: Charles Christensen A/S Danica-Elektronik A/S Gammelrand Holding A/S InterMail A/S MK af 2010 A/S Pele Holding A/S P.0.A. Ejendomme A/S SCF Technologies A/S Torm A/S Board member of: Weibel Scientific A/S including related companies Special competences: General management, among other things as chairman of listed companies with an international outlook and corporate law issues.

John Stær, born 1951 President and CEO of Satair A/S Member of the Board since 1998, re-elected in 2009 Board member of: Several companies in the Satair group DLH A/S Special competences: General management, including management of international activities, the acquisition and divestment of companies and financial management.

Mikael Worning, born 1962 Executive Vice President, Oticon A/S Member of the Board since 2010 Board member of: Various companies in the William Demant group Special competences: General management experience with focus on international sales and marketing of medicotechnical articles and management of international sales organisations.

Jesper Funding Andersen (1966), MSc Business Economics. CEO of Origio A/S, which is listed on the Norwegian stock exchange. Jesper Funding Andersen has been CEO of Origio A/S since 2005. Origio A/S is an international global leader within the development, production and sales of medical devices for IVF clinics. Jesper Funding Andersen has been a member of the Board of Directors of Missionpharma A/S since 2002, and Chairman of the Board of Directors of Ellipse A/S since 2007. From 2002 to 2005, Jesper Funding Andersen served as Senior Vice President, International Business, of GN Resound A/S, and from 1994 to 2001, he was employed with Unomedical (formerly Maersk Medical), most recently as Group Vice President. From 1990 to 1994, Jesper Funding Andersen worked as a consultant with McKinsey & Co. Jesper Funding Andersen thus brings considerable experience from international medtech companies.

Allan Søgaard Larsen (1956), MA with focus on languages and literature and English. CEO of Falck A/S since 2004. Allan Søgaard Larsen is also member of the Board of Directors of Pension Danmark A/S and the Central Board of DI (Confederation of Danish Industry). Allan Søgaard Larsen has held several executive positions in his many years with Falck. He started as HR Manager with Falck A/S (then known as Falck Redningskorps) in 1990, and in 1995, he was appointed Assistant Manager in charge of the merger between Falck Securitas and Falck's rescue service. In 2001, he was appointed CEO of Falck Redningskorps, which was a part of Group 4 Falck at the time. Allan Søgaard Larsen thus brings vast management experience from a major, global growth company in the market for medico-technical products and thereby the business areas in which Ambu operates.
