MT Højgaard Holding

The board of directors of Højgaard Holding A/S has today considered and
approved the annual report for 2014, which follows below in its entirety and
with the following summary.

Summary

-- In 2014, the Højgaard Holding group realised a revenue of DKK 70 million
and an operating profit of DKK 10 million, which is on a level with 2013.
-- The Højgaard Holding group recorded a loss before tax of DKK 174 million,
which is approx. DKK 200 million down on last year’s profit of DKK 27
million. Results before tax are negatively affected by our share of the
liability to pay damages that MT Højgaard incurred in connection with the
settlement of old offshore dispute cases.
-- The Højgaard Holding group recorded a loss after tax of DKK 176 million
compared to a profit of DKK 25 million in 2013.
-- The jointly controlled enterprise MT Højgaard (in which Højgaard Holding
A/S holds a share of 54 %) recorded an operating profit before special
items of DKK 207 million, compared to a profit of DKK 105 million for 2013.
Special items amounted to a loss of DKK 408 million in 2014 and relate to
the offshore dispute cases that were lost in 2014. In 2013, DKK 130 million
was recognised as income under special items. Results after tax (before
minority interests) amounted to a loss of DKK 252 million for the year,
compared to a profit of DKK 107 million for 2013.
-- For 2015, the MT Højgaard group expects revenue at the level of DKK 7.0 to
DKK 7.5 billion and an operating profit of DKK 300-375 million,
corresponding to an EBIT margin of 4-5%.

-- For 2015, in addition to our 54 % share of the MT Højgaard group’s profit
after tax and minority interests the Højgaard Holding group expects a small
positive result before tax.
-- No distribution of dividends for 2014 will be proposed.
