**NeXR** **Technologies** **SE: Auditor to issue disclaimer of opinion for 2022 financial statements**

Berlin, 24 April 2023

NeXR Technologies SE („ **Company** “ or „ **NeXR** “) today received notification from the auditor that the auditor will issue a disclaimer of opinion for the 2022 financial statements after completion of the audit. Given the non-extension of the financing commitment by the major shareholder (see ad hoc announcement of 19 April 2023), the auditor is unable to issue an opinion on the going concern assumption.

The Company will publish the approved 2022 financial statements in accordance with the statutory deadlines.
