(1) 普通株式
(注１) 第一回公開買付けの開始日時点において、当社は当社株式のほか、Ａ種種類株式2,000株を発行しており、その全てを株式会社エルティー(以下「エルティー」といいます。)が所有しておりましたが、エルティー及びその完全親会社であった合同会社エメラルド(以下「エメラルド」といい、エルティー及びエメラルドを個別に又は総称して、以下「本応募合意株主」といいます。)は、公開買付者が2025年４月８日付で提出した公開買付届出書の訂正届出書に記載のとおり、本応募契約(下記「３ 当該公開買付けに関する意見の内容、根拠及び理由」の「(2) 第二回公開買付けに関する意見の根拠及び理由」の「① 本両公開買付けの概要」に定義します。)の定めに従って、その所有するＡ種種類株式の全てについて、第一回公開買付け開始日の翌営業日である2025年４月１日付で、普通株式対価の取得請求権を行使しております。本応募合意株主は、当該行使により交付された当社株式(以下「Ａ種種類株式転換後普通株式」といいます。)5,742,465株の全てを第一回公開買付けに応募しているとのことです。なお、当該行使によって、当社は発行済のＡ種種類株式2,000株の全てを自己株式として所有するに至りましたが、本日付で発行済のＡ種種類株式の全てを消却する旨の決議を行っており、本日現在、当社はＡ種種類株式を発行しておりません。 (2) 新株予約権 ① 2016年７月25日開催の当社株主総会の決議に基づいて発行された新株予約権(以下「第一回新株予約権」といいます。)(行使期間は2019年７月26日から2026年７月25日まで) ② 2016年７月25日開催の当社株主総会の決議に基づいて発行された新株予約権(以下「第二回新株予約権」といい、第一回新株予約権及び第二回新株予約権を総称して、以下「本新株予約権」といいます。)(行使期間は2019年７月26日から2026年７月25日まで)
