６【会社の支配に関する基本方針に係る対応方針】
上記「３．当該公開買付けに関する意見の内容、根拠及び理由」の「(2）意見の根拠及び理由」の「③ 当社が本公開買付けに賛同するに至った意思決定の過程及び理由」に記載のとおり、当社は、2023年６月28日開催の第47回定時株主総会における承認に基づき本対応策を更新しておりますが、本取引の実施は当社の企業価値向上に資するものであると判断したことから、2025年６月９日開催の取締役会において、本公開買付けに対して本対応策を適用せず、対抗措置を発動しないことを決議いたしました。
