Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "User"), and FINANCIALREPORTS PTE. LTD. (UEN: 202504313C), a company incorporated in Singapore ("we," "us," or "our"), concerning your access to and use of the FinancialReports website, data, and application programming interface (collectively, the "Service").

By accessing or using the Service, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Service and must discontinue use immediately.

Access to certain features of the Service requires an active, paid subscription. All subscription fees are billed in advance on a recurring basis (monthly or annually). You agree to provide current, complete, and accurate purchase and account information.

Satisfaction Guarantee: We offer a 14-day satisfaction guarantee. If you are not satisfied with the Service for any reason, you may request a full refund within the first fourteen (14) days of your initial subscription purchase.

Cancellation: You may cancel your subscription at any time. Your cancellation will take effect at the end of the current paid term, and you will retain access to the Service until that date. Except as provided under our Satisfaction Guarantee, subscription fees are non-refundable.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service and the data provided therein ("Data").

This license permits you to use the Data for your internal business or academic research purposes. This includes the right to create and use derived works (such as financial models, analyses, charts, and reports), provided that such derived works do not permit the extraction, reverse-engineering, or redistribution of a substantial portion of the underlying raw Data.

You are expressly prohibited from: (a) reselling, sublicensing, or otherwise redistributing the raw Data to any third party; (b) using the Service to develop a competing product; and (c) publicly displaying the raw Data without our prior written consent.

Your use of our Application Programming Interface (API) is subject to the terms of this agreement and any technical limitations, including published rate limits, outlined in the official API documentation. We reserve the right to monitor your API usage and to throttle or suspend your access if your usage is deemed excessive, abusive, or in violation of these Terms or the API documentation.

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR SUITABILITY OF THE DATA. YOUR USE OF THE SERVICE IS SOLELY AT YOUR OWN RISK. THE DATA IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE FINANCIAL OR INVESTMENT ADVICE.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT OF FEES, IF ANY, PAID BY YOU TO US DURING THE TWELVE (12) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by sending an email to the address associated with your account and by posting a prominent notice within our web application at least thirty (30) days before the new terms become effective. Your continued use of the Service after the effective date of such changes constitutes your acceptance of the new Terms.

These Terms and your use of the Service are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles.

Notwithstanding the foregoing, if you are a User based in the European Union, these Terms shall not prevent you from benefiting from any mandatory provisions of the law of the country in which you are resident, or from bringing legal proceedings in the courts of that country.

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiations between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, the parties agree to submit the dispute to mediation. If mediation is unsuccessful, the dispute shall be referred to and finally resolved by binding arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules.
