Borate Special Recovery officer, of the Dnyandeep Co-operative Credit Soc.Ltd. NOTICE AND ADVERTISEMENT OF THE MEETING OF EQUITY SHAREHOLDERS OF ZUARI GLOBAL LIMITED (TRANSFEREE COMPANY)

  • NOTICE is hereby given that by an order dated 11th August 2021 (hereafter referred to as the Order), passed in the Company Application No. (CAA)139/MB/2021 (hereafter referred to as the Company Application), the Hon'ble National Company Law Tribunal, Mumbai Bench (hereafter referred to as the Hon'ble Tribunal) has directed that a meeting be held of the Equity Shareholders of Zuari Global Limited (hereafter referred to as the Transferee Company or Applicant Company) for the purpose of considering, and if thought fit, approving, the proposed Scheme of Amalgamation between the Transferee Company and Gobind Sugar Mills Limited (hereafter referred to as the Transferor Company) and their respective shareholders and creditors under Sections 230-232 of the Companies Act, 2013 (hereafter referred to as the Scheme).

In pursuance of the said order and as directed therein, notice is hereby given that a meeting of the Equity Shareholders of the Applicant Company will be held on Tuesday, 12th October, 2021 at 11:30 a.m., through Video Conferencing ('VC') and/ or Other Audio Visual Means ('OAVM') pursuant to General Circular No. 14/2020 dated 8th April, 2020, General Circular No. 17/2020 dated 13th April, 2020, General Circular No. 22/2020 dated 15th June, 2020, General Circular No. 33/2020 dated 28th September, 2020, General Circular No. 39/2020 dated 31st December, 2020 and General Circular No. 10/2021 dated 23rd June, 2021 issued by the Ministry of Corporate Affairs (“MCA”) (hereinafter referred to as “MCA Circulars”), at which time, the Equity shareholders of the Applicant Company are requested to attend. The Company is pleased to provide its Equity Shareholders the facility to exercise their right to vote on the resolution proposed to be considered in the said meetings by remote e-voting and e-voting during the meetings. The Equity Shareholders can opt for only one mode for voting i.e., remote e-voting or e-voting during the meeting. Those Equity Shareholders who will be present in the respective meeting through Video Conferencing facility and have not casted their vote on the resolution through remote e-voting, shall be eligible to vote through e-voting system during the meeting. Equity Shareholders who would have casted their votes through remote e-voting may attend the meeting but shall not be entitled to cast their vote during the meeting. The Equity Shareholders attending the Meeting through VC / OAVM shall be counted for the purpose of reckoning the respective quorum under Section 103 of the Companies Act, 2013. The facility for appointment of proxies by the Equity Shareholders will not be available for the Meeting and hence the Proxy Form and Attendance Slip are not annexed to the Notice In compliance with the aforesaid MCACirculars, Notice of the Meeting along with the Explanatory Statement has been sent on Tuesday, 07th September 2021 to those Equity Shareholders whose name appear in the records of the Company at the closure of business hours on Friday, 3rd September 2021. Notice is being sent only through electronic mode to such Equity Shareholders whose email addresses are registered with the Company/ Depositories. Copies of the Notice, Scheme and Explanatory Statement, under Sections 230(3), 232(1), 232(2) and 102 of the Companies Act, 2013 read with Rule 6 of the Companies (Compromises, Arrangements and Amalgamations) Rules, 2016 along with copies of the Scheme, Order and other enclosures, including procedure and instructions for remote e-voting, joining the meeting through video conferencing and e-voting during the meeting, can also be accessed from the website of the Transferee Company at www.adventz.com, BSE Limited ('BSE') at https://www.bseindia.com, National Stock Exchange of India ('NSE') at https://www.nseindia.com and the website of Link Intime (India) Private Limited ('LIIPL') (agency for providing the Remote e-Voting facility) i.e. www.linkintime.co.in.

Above documents can be obtained free of charge at the registered office of the Company at Jai Kisaan Bhawan, Zuarinagar, Goa-403726 within 1 (one) day (except Saturdays, Sundays and public holidays) on a requisition being so made for the same to the Company by e-mail at [email protected]. The cut-off date for determining the Equity Shareholders who shall be entitled to vote through remote e-voting or voting at the meeting of the Equity Shareholders is 5th October, 2021. The voting rights of Equity Shareholders shall be in proportion to their share of the paid-up equity share capital of the Company as on the cut-off date i.e. 5th October, 2021. The remote e-voting period commences on 8th October 2021 (10:00 a.m. IST) and ends on 11th October, 2021 (5:00 p.m. IST). The remote e-voting module shall be disabled by LIIPLfor voting thereafter.

  • The Members whose email addresses are not available with the Transferee Company/ Depositories or who hold shares in physical form have to mandatorily generate their own Password, as under:

  • Ÿ Open the internet browser and launch the URL: https://instavote.linkintime.co.in

  • Ÿ Click on “Sign Up” under 'SHARE HOLDER' tab and register with your following details:

    • A. UserID: Shareholders/ members holding shares in physical form shall provide Event No + Folio Number registered with the Company.

    • B. PAN: Enter your 10-digit Permanent Account Number (PAN) (Members who have not updated their PAN with the Depository Participant (DP)/ Company shall use the sequence number provided to you, if applicable.

    • C. DOB/DOI: Enter the Date of Birth (DOB) / Date of Incorporation (DOI) (As recorded with your DP/ Company - in DD/MM/YYYYformat)

  • D. Bank Account Number: Enter your Bank Account Number (last four digits), as recorded with your DP/Company.

  • Shareholders/ members holding shares in physical form but have not recorded 'C' and 'D', shall provide their Folio number in 'D' above Ÿ Set the password of your choice (The password should contain minimum 8 characters, at least one special Character (@!#$&*), at least one numeral, at least one alphabet and at least one capital letter).

  • Ÿ Click “confirm” (Your password is now generated). NOTE: If Shareholders/ members are holding shares in demat form and have registered on to e-Voting system of LIIPL: https://instavote.linkintime.co.in, and/or voted on an earlier event of any company then they can use their existing password to login. If Individual Shareholders holding securities in Physical mode have forgotten the password: Ÿ Click on 'Login' under 'SHARE HOLDER' tab and further Click 'forgot password?' Ÿ Enter User ID, select Mode and Enter Image Verification (CAPTCHA) Code and Click on 'Submit'. Ÿ In case shareholders/ members is having valid email address, Password will be sent to his / her registered e-mail address. Ÿ Shareholders/ members can set the password of his/her choice by providing the information about the particulars of the Security Question and Answer, PAN, DOB/DOI, Bank Account Number (last four digits) etc. as mentioned above.

  • Individual Shareholders holding securities in demat mode with NSDL/ CDSLhave forgotten the password: Ÿ Shareholders/ members who are unable to retrieve User ID/ Password are advised to use Forget User ID and Forget Password option available at abovementioned depository/ depository participants website.

  • Ÿ It is strongly recommended not to share your password with any other person and take utmost care to keep your password confidential. Ÿ For shareholders/ members holding shares in physical form, the details can be used only for voting on the resolutions contained in this Notice. Ÿ During the voting period, shareholders/ members can login any number of time till they have voted on the resolution(s) for a particular “Event”.
