Borsa İstanbul'un 22.09.2022 tarih 11362 sayılı yazısına istinaden aşağıdaki açıklamanın yapılması gerekli görülmüştür.

Şirketimiz ve hakim ortağı Zorlu Holding AŞ ile Wren House Infrastructure LP ("WH") (KIA bağlı ortaklığı) arasında sermayesinin tamamına iştirak ettiğimiz Hollanda'da kurulu, ZES N.V.'nin ("ZES") çoğunluk paylarının ve Şirketimizin azınlık paylarının satışı ve Şirketimiz ile Kuwait Investment Authority ("KIA") arasında imzalanan kredi sözleşmesinin tadili hususlarında müzakere süreçleri devam etmekte olup, gelişmeler tam ve zamanında kamuya açıklanacaktır.

Şirketimiz, yukarıda belirtilen işlemlere ilişkin müzakerelere başlandığında, işlem yapısı ve şartlarındaki belirsizlikler ve tarafların işlemle ilgili iradelerinde somutlaşma olmaması sebebiyle; Şirketimizin meşru çıkarlarının zarar görmemesi ve yatırımcılarımızın yanıltılmasına yol açılmaması amacıyla II-15.1 sayılı Özel Durumlar Tebliği'nin 6. maddesine uygun olarak 24.06.2022 tarih ve 2022/33 sayılı yönetim kurulu kararı ile müzakerelere başlandığı bilgisinin açıklanmasının ertelenmesi yönünde karar almıştır.

Olağan Dışı Fiyat ve Miktar Hareketleri şablonundan yaptığımız bu açıklama, 23.09.2022 tarihinde saat 09:37'de yapılan açıklama içeriği ile aynıdır.

İşbu açıklamamızın İngilizce çevirisi ekte yer almakta olup, açıklama metinlerinde herhangi bir farklılık olması durumunda, Türkçe açıklama esas kabul edilecektir.

Pursuant to the letter of Borsa İstanbul dated 22.09.2022 and numbered 11362, it was deemed necessary to make the the following announcement.

Negotiations are ongoing between our Company, its controlling shareholder Zorlu Holding A.Ş. and Wren House Infrastructure LP ("WH") (an affiliate of KIA) for the sale of a majority stake in our wholly-owned subsidiary ZES N.V. ("ZES") incorporated in the Netherlands and a minority stake in our Company and for the amendment of the loan agreement that was entered into with Kuwait Investment Authority ("KIA") . Due and timely disclosures will be made in connection with the developments on these negotiations.

Our Company has decided to postpone the announcement of the commencement of negotiations with the resolution of board of directors dated 24.06.2022 and numbered 2022/33 in accordance with Article 6 of the Material Events Communiqué numbered II-15.1 in order to prevent harm to the legitimate interests of our Company and misleading our investors, due to the uncertainties in the transaction structure and terms and the lack of materialization in the will of the parties regarding the transaction, when the negotiations regarding the above-mentioned transactions were initiated. Upon the completion of the negotiation process regarding the transaction, the materialization of the will of the parties and the clarification of the transaction structure and terms, the necessary announcement is made immediately when the grounds for postponement are cleared.
