PRE REINSTATEMENT DISCLOSURES
Zoono Group Limited (ASX:ZNO) is pleased to advise that the Offer under the Company’s replacement prospectus dated 14 March 2017 to raise up to $10 million by the issue of up to 50,000,000 shares closed oversubscribed. All securities under the Offer have now been issued and allotted.
The conditions precedent (without waiver) for completion of the share sale agreement between NPT Zoono Trustee Limited atf The Zoono Trust and the Company dated 19 August 2016, as varied by a Deed of Variation entered into on about 11 November 2016, whereby the Company will acquire 100% of the issued share capital of Zoono Group Limited in consideration for the issue of 94,500,000 fully paid ordinary shares have all been satisfied. The Company has issued and allotted the consideration shares and completed the acquisition of Zoono Group Limited.
The Company confirms that, to the best of its knowledge, the Company is in compliance with the listing rules and in particular listing rule 3.1.
