The board of directors (the “Board”) of Grandtop International Holdings Limited (the “Company”) refers to the circular despatched to Shareholders on 14th September, 2009 relating to the acquisition of the entire issued share capital of Birmingham City Plc (“BCFC”) and the open offer of shares by the Company. Capitalised terms used herein and not defined shall have the same meaning in the circular mentioned above unless the context otherwise requires.
