ANNOUNCEMENT

Reference is made to the announcement of Grandtop International Holdings Limited (the “Company”) dated 21st August, 2009 (the “Announcement”) in relation to, among other things, the proposed conditional offer (the “Offer”) by the Company to acquire all the issued share capital of Birmingham City PLC (“Birmingham City”) not already owned by the Company, which constitutes a very substantial acquisition for the Company under the Listing Rules. Terms used herein shall have the same meanings as defined in the Announcement unless defined otherwise.

The Board announces that shareholders in Birmingham City who accepted the Offer by the first closing date of the Offer have now had the Offer consideration to which they are entitled remitted to them by the Company and that accordingly the Acquisition has on that basis now been completed.
