INSIDE INFORMATION: LAPSE OF SUBSCRIPTION AGREEMENT

This announcement is made by Birmingham International Holdings Limited (the “ Company ”) pursuant to Rule 13.09 of the Listing Rules and Part XIVA of the Securities and Futures Ordinance (Cap. 571 of the Laws of Hong Kong).

The Board announced the Subscription has not been consummated by 31 October 2014 and that the Board has decided not to further extend the Long Stop Date. Pursuant to the terms of the Subscription Agreement, the Subscription Agreement has lapsed automatically on 31 October 2014.

This announcement is made by Birmingham International Holdings Limited (the “ Company ”) pursuant to Rule 13.09 of the Listing Rules and Part XIVA of the Securities and Futures Ordinance (Cap. 571 of the Laws of Hong Kong). References are made to (i) the announcement (the “ Announcement ”) of the Company dated 31 July 2014 in relation to the issue of Convertible Bonds; and (ii) the announcements of the Company dated 21 August 2014, 10 September 2014 and 10 October 2014 in relation to the delay and further delay in despatch of the circular. Capitaised terms defined in the Announcement shall have the same meanings when used herein unless the context requires otherwise.

Pursuant to the terms of the Subscription Agreement, the Subscription Agreement has lapsed automatically on 31 October 2014.

All rights, obligations and liabilities of the parties hereunder in relation to the Subscription as contemplated by the Subscription Agreement cease and determine and none of the parties have any claim against any other in respect thereof.
