NOTICE IN ACCORDANCE WITH SECTION 1012DA(5)(e) OF THE CORPORATIONS ACT 2001

WHL Energy Limited (‘WHN’) announces in accordance with Section 1012DA(5)(e) of the Corporations Act, 2001 (‘Act’) that 22,000,000 ordinary fully paid shares issued and allotted to raise funds to assist in the purchase of an interest in Kentucky Oil assets and for further working capital announced on 19 June 2009 were issued without a Product Disclosure Statement on 24 June 2009.

As a disclosing entity, WHL is subject to regular reporting and disclosure obligations.

As at the date of the Notice:

• WHL confirms that WHL has complied with:

• The provisions of Chapter 2M of the Act as they apply to WHL; and

• Section 674 of the Act as it applied to WHL; and

• WHL is not aware of any information that may be excluded information within the meaning of sections 1012DA(7) and 1012DA(8) of the Act.
