Annual General Meeting

WHL Energy Limited ( WHL or the Company ) refers to the annual general meeting ( AGM ) of the Company to be held on Wednesday, 30 November 2016 at 3.30pm and the Notice convening the meeting dated 31 October 2016.

WHL wishes to advise that ASIC has advised the Company that, given the proposed acquisition of Quantify Technology Limited ( Quantify ) is likely to result in Quantify shareholders as a whole acquiring approximately 60% of WHL’s issued shares, and up to approximately 80% if performance share hurdles are met, ASIC considers WHL shareholders should be provided with an independent expert’s report on whether the acquisition of Quantify is fair and reasonable to WHL shareholders.

The Company is currently obtaining an independent expert’s report that it will provide to shareholders as soon as practicable.

The Company will proceed with its AGM on 30 November 2016 but wishes to advise that, once Resolutions 1 - 4 and 6 (being the resolutions that are not related to the acquisition of Quantify) have been put to shareholders, it intends to adjourn the meeting to a date to be advised, being no more than 30 days after the meeting date. The date will be determined once the Company has obtained the independent expert’s report and confirmed ASIC’s requirements.
