Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

The Board of Directors of Ziff Davis, Inc. (“the Board”) has appointed Neville Ray to serve as director of the Board effective January 9, 2024. Mr. Ray will serve on the Compensation Committee and the Environmental, Social and Governance Committee of the Board.

Mr. Ray will be compensated in accordance with the Company’s compensation policies for Board members as described in the Company’s Proxy Statement filed with the Securities and Exchange Commission on March 28, 2023, under the section titled “Director Compensation,” which is incorporated herein by reference.

There are no transactions or relationships between the Company and Mr. Ray that are reportable under Item 404(a) of Regulation S-K.

Mr. Ray is expected to stand for election to the Board at the Company’s 2024 Annual Meeting of Stockholders to be held in May 2024.
