招商证券股份有限公司关于科达集团股份有限公司 2015 年度募集资金存放与使用情况

之专项核查意见

招商证券股份有限公司（以下简称“招商证券”或“财务顾问”）作为科达 集团股份有限公司（以下简称“科达股份”或“公司”）发行股份及支付现金购 买资产并募集配套资金暨关联交易的独立财务顾问，根据《上海证券交易所股票 上市规则》、《上海证券交易所上市公司募集资金管理办法》、《上市公司监管 指引第2 号——上市公司募集资金管理和使用的监管要求》以及《科达集团股份 有限公司募集资金管理办法》等有关规定以及招商证券及科达股份签订的财务顾 问协议等文件的相关规定，招商证券就公司2015 年度募集资金存放与使用情况 进行了专项核查，现将核查意见发表如下：

一、 募集资金基本情况

（一）实际募集资金金额及到账时间

经中国证券监督管理委员会证监许可[2015]1837 号文《关于核准科达集团股 份有限公司向北京百仕成投资管理中心（普通合伙）等发行股份购买资产并募集 配套资金的批复》核准，招商证券作为公司的主承销商，采用向特定投资者非公 开发行股票的方式发行，发行人民币普通股133,400,000 股，发行价格5.56 元/ 股，募集资金总额人民币741,704,000.00 元，扣除发行费用人民币

15,000,000.00 元，实际募集资金净额726,704,000.00 元。上述募集资金到位 情况已由天健会计师事务所(特殊普通合伙)审验并出具《验资报告》(天健验 〔2015〕327 号)。

（二）2015 年使用金额及当前余额

非公开发行募投资金用于支付购买资产交易的现金对价部分和中介机构费 用。截至2015 年12 月31 日，公司累计已使用募集资金524,467,535.90 元，其

中支付第一期购买资产交易的现金对价515,558,464.90 元，支付转款手续费 3,230.43 元，支付中介机构费8,905,840.57 元。公司募集资金账户累计收到的 银行存款利息为38,125.35 元。

截至2015 年12 月31 日，非公开发行募投资金项目募集资金专用账户余额 202,274,589.45 元。

二、 募集资金管理情况

为规范科达股份募集资金的管理和运用，提高募集资金使用效率，根据《公 司法》、《证券法》、《首次公开发行股票并上市管理办法》、《上市公司证券发行管 理办法》、《关于前次募集资金使用情况报告的规定》、《上市公司监管指引第2 号——上市公司募集资金管理和使用的监管要求》、《上海证券交易所股票上市规 则》、《上海证券交易所上市公司募集资金管理办法》等相关法律、法规、规范性 文件及《科达集团股份有限公司章程》的规定和要求，制订了《科达集团股份有 限公司募集资金管理办法》（以下简称《管理办法》）。根据《管理办法》，公司对 募集资金实行专户存储，在银行设立募集资金专户。2015 年8 月25 日,公司和 招商证券与山东广饶农村商业银行股份有限公司大王支行共同签订《募集资金三 方监管协议》。三方监管协议明确了各方的权利和义务，其内容与上海证券交易 所三方监管协议范本不存在重大差异。公司在履行三方监管协议进程中不存在问 题。

根据《管理办法》的要求，公司对募集资金的使用设置了严格的权限审批制 度，以保证专款专用。公司按照发行申请文件中承诺的计划进度组织实施募集资 金项目，具体实施部门（单位）要编制具体工作进度计划，保证各项工作能按计 划进度完成，并定期向财务部门和董事会秘书报送具体工作计划和实际完成进度 情况，由董事会秘书负责相关信息披露。公司在使用募集资金时，严格履行申请 和审批手续。所有募集资金项目的资金支出，在董事会授权范围内均需由具体使 用部门（单位）填写申请单，由公司财务总监审核，经董事长批准后交财务部门 办理付款事宜；超过董事会授权范围的，须报股东大会审批。

三、 本年度募集资金的实际使用情况

2015 年8 月28 日，本次募集配套资金用于支付第一期现金对价 515,558,464.90元，支付转款手续费3,230.43元，支付中介机构费8,905,840.57 元。

四、 变更募集资金投资项目的资金使用情况

科达股份不存在变更募集资金投资项目的情况。

五、 募集资金使用及披露中存在的问题

科达股份募集资金使用情况的披露与实际使用情况相符，不存在未及时、真 实、准确、完整披露的情况，也不存在募集资金违规使用的情形。

六、财务顾问意见

经核查，招商证券认为：科达股份2015 年度募集资金存放与使用情况符合 《上海证券交易所股票上市规则》、《上海证券交易所上市公司募集资金管理办 法》、《上市公司监管指引第2 号——上市公司募集资金管理和使用的监管要求》 等文件的规定，对募集资金进行了专户存储和专项使用，不存在变相改变募集资 金用途和损害股东利益的情况，不存在重大违规使用募集资金的情形。
