VOLUNTARY ANNOUNCEMENT RELEASE OF PLEDGE OF SHARES BY CONTROLLING SHAREHOLDER

Reference is made to (i) the announcement of Zhenro Properties Group Limited (the “ Company ”) dated 14 August 2018 in relation to the pledge of 440,000,000 ordinary shares (the “ Pledged Shares ”) in the issued share capital of the Company by RoYue Limited (“ RoYue ”), a controlling shareholder of the Company (as defined in the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited) in favour of an asset management company (the “ Chargee ”); and (ii) the announcements of the Company dated 24 July 2019 and 22 June 2020 in relation to the partial release of an aggregate of 280,000,000 Pledged Shares (the “ Prior Releases ”).

On 23 July 2021, the board (the “ Board ”) of directors of the Company was notified that RoYue and the Chargee entered into a Deed of Partial Release on 22 July 2021 for the release of the remaining 160,000,000 Pledged Shares (the “ Third Release ”, together with the Prior Releases, the “ Release ”). After the Release, all of the Pledged Shares have been released.

As at the date of this announcement, RoYue is the beneficial owner of 2,278,525,000 shares in the issued share capital of the Company, representing approximately 52.17% of the issued share capital of the Company.

As at the date of this announcement, the executive directors of the Company are Mr. Huang Xianzhi, Mr. Liu Weiliang, Mr. Li Yang and Mr. Chan Wai Kin, the non-executive director of the Company is Mr. Ou Guowei, and the independent non-executive directors of the Company are Dr. Loke Yu (alias Loke Hoi Lam), Mr. Wang Chuanxu and Mr. Lin Hua.
