1. The Board of Directors at its meeting held on January 22, 2026 declared an interim dividend of ₹ 2.40 per equity share. The Board at its meeting held on April 24, 2026 has recommended a Final dividend of ₹ 12.60 per share (630%) of the face value of ₹ 2 each for the financial year ended March 31, 2026, subject to the approval of shareholders at the ensuing Annual General Meeting of the Company.
2. The Company has created Zensar Employees Welfare Trust (the 'ESOP Trust') for providing share-based payments, as a vehicle for distributing shares to employees under Employee Stock Option Scheme 2025. The Company has treated ESOP Trust as its extension. As at March 31, 2026, ESOP Trust has acquired 781,257 Equity shares from open market which are treated as Treasury Shares by the Company. The paid-up Equity Share Capital has been disclosed net of Treasury Shares and while computing the basic and diluted earnings per share, the weighted average number of equity shares held by trust have been reduced.
3. On November 21, 2025, the Government of India notified the four Labour Codes - the Code on Wages, 2019, the Industrial Relations Code, 2020, the Code on Social Security, 2020, and the Occupational Safety, Health and Working Conditions Code, 2020 - consolidating 29 existing labour laws. The Group has assessed and disclosed the incremental impact of these changes on the basis of the best information available and guidance provided by the Institute of Chartered Accountants of India. Considering the materiality and regulatory-driven, non-recurring nature of this impact, the Group has presented such incremental impact as "Statutory impact of new Labour Codes" under "Exceptional Items" in the consolidated statement of profit and loss for the year ended March 31, 2026. The incremental impact on provisions for employee benefits expenses of ₹ 249 Million primarily arises due to change in wage definition. The Group continues to monitor the finalisation of Central / State Rules and clarifications from the Government on other aspects of the Labour Code and would provide appropriate accounting effect as and when such clarifications are issued/rules are notified.
4. Figures for the quarter ended March 31, 2026 and March 31, 2025 are the balancing figures between audited figures in respect of the full financial year and published year to date figures up to the third quarter of the respective financial year.
5. 1. संचालक मंडळाने त्यांच्या २२ जानेवारी २०२६ रोजी झालेल्या बैठकीत कंपनीच्या प्रती समभागासाठी २.४० रुपये एवढा अंतरिम लाभांश जाहीर केला.

याव्यतिरिक्त, संचालक मंडळाने २४ एप्रिल २०२६ रोजी झालेल्या त्यांच्या बैठकीत ३१ मार्च २०२६ रोजी संपलेल्या आर्थिक वर्षासाठी २ रुपये दर्शनी मूल्याच्या प्रती समभागासाठी रु. १२.६० प्रती समभाग (६३०%) चा अंतिम लाभांश देण्याची शिफारस केली आहे, ही शिफारस कंपनीच्या आगामी वार्षिक सर्वसाधारण समिति भागधारकाच्या मंजुरीच्या अधीन आहे.

1. कंपनीने इंन्सार एम्प्लॉईज वेल्फेअर ट्रस्ट (दि ‘ईएसओपी ट्रस्ट’) ची निर्मिती कर्मचार्यांना एम्प्लॉईज स्टॉक ऑप्शन २०२५ स्कीम अंतर्गत शेअर-बेस्ड पेमेंट प्रदान करण्यासाठी केली आहे. कंपनीने ईएसओपी ट्रस्ट आपला विस्तार असे समजले आहे. ३१ मार्च, २०२६ रोजी इएसओपी ट्रस्ट ने खुल्या बाजारातून ७८१,२५७ समभाग प्राप्त केले असून ते कंपनीकडून ट्रेडारी समभाग मानले जात आहेत. सदर पेड अप इंडिटी शेअर कॅपिटल हे नेट ऑफ ट्रेडारी शेअर म्हणून दर्शविण्यात आले असून प्रति शेअर मूलभूत व डायल्यूटेड उत्पन्नाची गणना करताना, ट्रस्टकडे असलेल्या समभागांची भारित सरासरी संख्या कमी करण्यात आली आहे.

2. २१ नोव्हेंबर २०२५ रोजी भारत सरकारने चार लेबर कोड - दि कोड ऑन वेलेस, २०१९, दि इंडस्ट्रिअल रिलेशन्स कोड, २०२०, दि कोड ऑन सोशल सिक्युरिटी, २०२० आणि दि ऑक्युरेशनल सेफ्टी, हेल्थ ऑप्ड वॉशिंग कंडिशन्स कोड, २०२० - असे २९ विद्यमान कामगार कारवाईचे एकत्रिकरण करून अभिमुखित केले आहेत. समूहाने आपल्याकडे उपलब्ध असलेली सर्वोत्कृष्ट माहिती आणि इन्स्टिट्यूट ऑफ चार्टर्ड अकौटिट्स ऑफ इंडिया यांनी उपलब्ध करून दिलेल्या मार्गदर्शक सूचना या आधारे याचा आढावा घेतला असून त्याचा विस्तारित परिणाम काय होईल हे स्पष्ट केले आहे. या संदर्भातील वास्तविकता आणि कायदेशीर- तरतुदी तसेच याच्या परिणामाचे अनावर्ती स्वरूप लक्षात घेऊन, समूहाने, सदर नवीन कामगार कारवाईचा ३१ मार्च, २०२६ रोजी समाप्त झालेल्या कालावधीच्या एकत्रित नफा आणि तोटा पत्रकामध्ये ‘अपवादात्मक मुद्दे’ अंतर्गत अशा वाढीव परिणाम ‘नवीन कामगार संहितांचा वैधानिक परिणाम’ म्हणून सादर केला आहे. कर्मचारी लाभ खर्चासाठीच्या तरतुदीवरील ₹ २४९ दशलक्षचा वाढीव परिणाम प्रामुख्याने वेतनाच्या व्याख्यातील बदलामुळे झाला आहे. समूह केंद्रीय/ राज्य सरकारच्या कारवाईमध्ये करण्यात येत असलेल्या बदलांकडे आणि लेबर कोड च्या संदर्भातील अन्य बाबीकडे लक्ष ठेवून आहे आणि जेव्हा अशा प्रकारचे स्पष्टीकरण करण्यात येईल/कायदे अभिमुखित करण्यात येतील तेव्हा त्याचा नेमका लेखांकन परिणाम काय होईल याबाबत माहिती उपलब्ध करून देत राहील.
