Change of Auditor & Notice of AGM

Zenith Energy Ltd. ("Zenith" or the "Company") (LSE: ZEN; OSE: ZENA-ME), the listed international oil & gas production company focused on pursuing African development opportunities, announces that, following a competitive tender process, it has appointed Jeffreys Henry LLP ("JH") as its new independent external auditor with immediate effect. PKF Littlejohn LLP ("PKF") submitted a letter of resignation to the Board of Directors on December 18, 2020 and have confirmed that there are no reasons or matters connected with them ceasing to hold office as auditors which they consider should be brought to the attention of the Company's shareholders or creditors.

The Board wishes to thank PKF for its services and support over the past four years.

The appointment of JH will be presented for shareholder approval at the Company's next Annual General Meeting.

Notice of AGM

The Company is pleased to confirm that its Annual General Meeting and Special Meeting ("AGM") will be held at the offices of Stikeman Elliot LLP at 4300 Bankers Hall West, 888 - 3rd Street SW, Calgary, AB T2P 5C5 on January 15, 2021, at the hour of 10:00 am (MST).

An information circular is currently being printed and will be distributed to shareholders in due course.

Board Appointment

The Company is pleased to announce that its Chief Financial Officer, Mr. Luca Benedetto, has been appointed to the Board of Directors as an Executive Director.
