Pursuant to Regulation 30 of Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘Listing Regulations’), read with Schedule III of the Listing Regulations, we wish to inform you the following:

1. Change in Key Managerial Personnel of the Company:

On the recommendation of Nomination and Remuneration Committee and Audit Committee, the Board of Directors of the Company at its meeting held today, i.e November 6, 2025, considered and approved the appointment of Mr. Rakesh Chaturvedi as the Chief Financial Officer (designated as the Key Managerial Personnel) of the Company, with effect from November 7, 2025.

1. Change in Key Managerial Personnel to determine materiality of an event or Information:

Pursuant to the Policy for Determination of Materiality of Events/Information and Disclosure thereof to the Stock Exchanges, and the appointment of Mr. Rakesh Chaturvedi as the Chief Financial Officer of the Company with effect from November 7, 2025, and in accordance with Regulation 30(5) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the following Key Managerial Personnel (KMPs) of the Company are authorised to determine the materiality of an event or information and to make necessary disclosures to the Stock Exchange(s) under the said Regulation:

3		Brief profile	Mr. Rakesh Chaturvedi is a senior finance and risk professional with nearly 30 years of experience across leading organizations in the media and technology sectors. Most recently, he was associated with Zee Entertainment Enterprises Limited as Executive Vice President – Risk, Internal Audit and Financial Controls, where he drove the internal audit strategy, risk management framework, and compliance governance. He had been pivotal in strengthening the company’s internal control environment, implementing enterprise-wide compliance systems, and formulating policies to enhance financial and operational efficiency. Earlier, as Chief Financial Officer and Head – Regulatory Affairs at India Webportal Private Limited (www.India.com), a joint venture of Zee, he worked closely with the CEO on strategic vision, stakeholder engagement, and the oversight of financial operations, legal affairs, and commercial activities. He has also held senior leadership positions at BT Global Communication India Pvt. Ltd. (erstwhile i2i Enterprises Ltd.) and Allsec Technologies, where he managed legal affairs, complex mergers, and cross-functional operations spanning HR and administration, reflecting a comprehensive and hands-on management approach. In terms of educational background, Rakesh holds dual master’s degrees in Commerce (M.Com) and MBA (Finance), along with a Bachelor of Laws (LL.B.) and a Doctorate (Ph.D.), underscoring his strong academic foundation and multidisciplinary perspective. Over his career, Rakesh has built a strong record in enterprise risk management, financial governance, compliance oversight, and operational excellence. His strategic perspective, combined with operational precision, has consistently delivered measurable business results and strengthened corporategovernance standards.
