In connection to our intimation dated August 7, 2021 and requirement received from National Stock Exchange of India Limited (NSE) on August 10, 2021, the clarification sought on above subject matter has been reproduced below for your ready reference.
Clarification sought:
This is with respect to an announcement submitted to the Exchange dated August 07, 2021, regarding Appointment of Mr. Ritesh Handa as Additional Director w.e.f. August 07, 2021. On basis of above the Company is required to provide confirmation in compliance with SEBI Letter dated June 14, 2018 read along with NSE Circular dated June 20, 2018 for appointment of Mr. Ritesh Handa, Additional Director designated as Executive Director.
Company's reply:
As per SEBI Letter dated June 14, 2018 read along with NSE Circular dated June 20, 2018, having ref no. as - NSE/CML/2018/24, requires Listed Companies to ensure that the person proposed to be appointed as "Director" shall not be debarred from holding the office by virtue of any SEBI Order or any other authority.
We would like to confirm that Mr. Ritesh Handa, who has been appointed as Additional Director, designated as "Executive Director of the Company" is not debarred from accessing the Capital Market and neither SEBI nor any authority had passed any order against him debarring from accessing the capital market.
Also, self-declaration received from Mr. Ritesh Handan phis legard is annexed herewith for your reference.
