Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

Effective as of August 6, 2021, the Board of Directors (the “Board”) of Zebra Technologies Corporation (the “Company”) approved amendments to the Amended and Restated By-Laws of the Company (the “By-Laws”) to implement proxy access. Article II, Section 2.15 of the By-Laws permit an eligible stockholder, or a group of up to twenty (20) eligible stockholders, owning three (3) percent or more of the Company’s outstanding common stock continuously for at least three (3) years to nominate, and include in the Company’s proxy materials, directors constituting up to twenty (20) percent of the total number of directors on the Board, subject to various additional terms, conditions, and requirements set forth in the By-Laws.

The amendments also include certain non-substantive conforming, clarifying, and updating changes to the By-Laws. The foregoing description of the amendments to the By-Laws is qualified in its entirety by reference to the full text of the By-Laws, a copy of which is attached as Exhibit 3.1 to this Current Report on Form 8-K and incorporated herein by reference.
