DELAY IN DESPATCH OF CIRCULAR

As additional time is required to prepare and finalise certain information to be included in the Circular, the despatch date of the Circular will be postponed to a date falling on or before 5 December 2014.

Reference is made to the announcement of RoadShow Holdings Limited (the “ Company ”) dated 31 October 2014 (the “ Announcement ”) in relation to, among other things, the Licence Agreement. Capitalised terms used in this announcement shall have the same meanings as those used in the Announcement unless otherwise defined.

As disclosed in the Announcement, a circular (the “ Circular ”) containing, among other things, further details of the Licence Agreement, the letter of recommendation from the independent board committee comprising the independent non-executive Directors, the letter of advice from the independent financial adviser to the independent board committee and independent Shareholders, and a notice of the special general meeting, was expected to be despatched to the Shareholders on or before 21 November 2014.

As additional time is required to prepare and finalise certain information to be included in the Circular, the despatch date of the Circular will be postponed to a date falling on or before 5 December 2014.
