SUBJECT: Notice of transactions by persons discharging managerial responsibilities

The Zagreb Stock Exchange, Inc. with its registered office in Zagreb, Ivana Lučića 2a/22, VAT ID No. (OIB): 84368186611 (hereinafter: the Issuer) in accordance with Article 19 of Regulation (EU) No. 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse (Market abuse regulation), informs that on 25 October 2018 has received the notice from Mister Ivan Tadin from Zagreb, Božidara Adžije 22/1, (hereinafter: the Shareholder), member of the Supervisory Board of the Issuer on:

• directly disposal of 51,000 regular shares of the Issuer, symbol: ZB-R-A, ISIN: HRZB00RA0003, LEI identification 7478000050A040C0D041, and
• indirectly disposal of 34,100 regular shares of the Issuer from the Company HITA-VRIJEDNOSNICE $\bullet$ Inc., Zagreb, Kumičićeva 10: VAT ID No. (OIB): 32998446701 and 178,900 regular shares of the Issuer from the Company Euro jezici Ltd., Zagreb, Kumičićeva 10, VAT ID No. (OIB): 11026690965.

According to the above, the Shareholder has totally disposed 264,000 shares of the Issuer which represents 5.69 % voting rights.

Data on the transaction in question, in accordance with the provisions of Commission Implementing Regulation (EU) No. 2016/523, are listed in the Template for notification and public disclosure of transactions by persons discharging managerial responsibilities and persons closely associated with them and for publication of those transactions, and which is provided as an appendix to this Notice.
