VOLUNTARY ANNOUNCEMENT STRATEGIC COOPERATION FRAMEWORK AGREEMENT

The Board wishes to inform the shareholders that the Company has today signed Strategic Cooperation Framework Agreement (“Cooperation Agreement”) with Shenzhen Golden Information Limited (“Golden Information”) for jointly development, distribution and sales of Prepaid Card – Gold Exchangeable Gift Card (“Gold Gift Card”), and also provide financial payment service and other related financial services for Gold Gift Card.

The board of directors (the “Board”) of China Innovationpay Group Limited (the “Company”) wishes to inform the shareholders that the Company has today signed Strategic Cooperation Framework Agreement (“Cooperation Agreement”) with Shenzhen Golden Information Limited (“Golden Information”) for jointly development, distribution and sales of Prepaid Card - Gold Exchangeable Gift Card (“Gold Gift Card”), and also provide financial payment service and other related financial services for Gold Gift Card.

Golden Information is a national leader in the professional service provider of personal gold supply chain and operates China Gold Information Network of www.go24k.com.

The Board opines that Cooperation Agreement will bring to the further development of the Group in issue of exchangeable gift cards and contribute the profit to the Group.

As at the date of this announcement, the Board comprises two executive Directors, namely Mr. Guan Gui Sen and Dr. Lei Chun Xiong; one non-executive Director, namely Mr. Li Yuezhong and three independent non-executive Directors, namely Dr. Fong Chi Wah, Mr. Wang Zhongmin and Mr. Gu Jiawang.
