• APPOINTMENT BY CO-OPTATION OF A NEW BOARD MEMBER

• CORPORATE EVENTS CALENDAR 2023 APPROVED

Milan, 19th December 2022 - YOLO Group S.p.A. ("YOLO" or the "Company"), one of the leading players in the Italian insurtech market of digital insurance services, announces that, the Board of Directors, which met today, with the approval of the Board of Statutory Auditors, resolved the appointment by co-optation, according to Article 2386, first paragraph of the Civil Code and Article 19, paragraph 17, of the Articles of Association, of Dr. Massimo Tessitore, as a Board Member of the Company. The appointment was made following the resignation with immediate effect of Dr. Alessia Truini on December 6, 2022, for reasons related to her professional career.

Having taken note of the declaration made and the documentation submitted by the new Board Member, at the same meeting the Board of Directors proceeded to verify that Dr. Massimo Tessitore meets the requirements prescribed by the applicable regulations, the Euronext Growth Milan Issuers' Regulations and Article 18.2 of the Company's Articles of Association for assuming the position. Dr. Massimo Tessitore will hold his/her position until the next Shareholders' Meeting. The Company also announces that it has strengthened its Italian team with the assignment to Mr. Eugenio De Marco of the role of Group Chief Business Officer. Thanks to his solid experience in consulting, insurance and technology, Mr. De Marco is entrusted with the task of leading the development of the Group's business, accelerating YOLO's growth path.

Furthermore, it is also notified that Board of Directors of YOLO, which met today, in accordance with the disclosure requirements of Article 17 of the Euronext Growth Milan Issuers' Regulations, approved the calendar of corporate events for fiscal year 2023.

March 23, 2023	Board of Directors to approve the financial statements for the year
	ending December 31, 2022
April 27, 2023	Shareholders' meeting in ordinary session to approve the financial
	statements for the year ending December 31, 2022
September 27, 2023	Board of Directors to approve the half-year financial report as of June
	30, 2023
