CLEANSING NOTICE UNDER SECTION 708A THE CORPORATIONS ACT 2001 (CTH) ISSUE OF SHARES UNDER THE INCENTIVE PERFORMANCE RIGHTS PLAN

Yojee Limited ( Yojee or the Company ) ( ASX: YOJ ) advises that it has issued 4,435,312[1] fully paid ordinary shares ( Conversion Shares ) upon the exercise of Performance Rights, under the Incentive Performance Rights Plan for Yojee employees approved by Shareholders at the Annual General Meeting ( AGM ) held on 28 November 2018. Please refer to the application for quotation of the new securities issued.

1 The issue of 4,435,312 fully paid ordinary shares, the Company gives this Notice under section 708A(5)(e) of the Corporations Act 2001 (Cth) (the “Corporations Act”). The Conversion Shares were issued without disclosure to investors under Part 6D.2 of the Corporations Act. As at the date of this Notice, the Company has complied with the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and section 674 of the Corporations Act. There is no excluded information for the purposes of section 708A(7) and 708A(8) of the Corporations Act that is reasonable for investors and their professional advisers to expect to find in a disclosure document, as at the date of this notice.
