YOJEE LIMITED SHARE PLACEMENT TO RAISE $3.9 MILLION

Commitments received to raise $3.9 million via a significantly oversubscribed share placement to sophisticated investors.

BACKGROUND
Yojee Limited (Yojee or the Company) (ASX: YOJ ) is pleased to announce that it has received firm commitments for a Share Placement ( Placement ) and Further Placement ( Further Placement ) of up to 65,000,000 fully paid ordinary shares at a price of $0.06 per share, to raise up to $3,900,000 before costs as follows:

The Placement of up to 56,250,000 shares to raise $3,375,000 under the Company’s current placement capacity pursuant to ASX Listing Rule 7.1 and is offered to sophisticated investors, pursuant to Section 708 of the Corporations Act 2001 (Cth); and

In addition to the Placement, Yojee will seek approval at the Company’s forthcoming General Meeting of Shareholders for a Further Placement of up to 8,750,000 shares on the same terms as the Placement to raise an additional $525,000 before costs. The purpose of the Further Placement is to accommodate a leading strategic institutional investor.
The Company advises that a cleansing prospectus ( Prospectus ) pursuant to section 708A(11) of the Corporations Act will be lodged as soon as practicable. The purpose of the Prospectus is to remove any trading restrictions in relation to the placement shares issued.
708 Capital Pty Ltd has been appointed as the Lead Manager in relation to the Placement and Further Placement. Funds raised will be used to accelerate the Company’s business development activities and for working capital purposes.
