NOTICE GIVEN UNDER SECTION 708A(5) OF THE CORPORATIONS ACT

Southern Crown Resources Ltd (“Southern Crown” or the “Company”) (ASX:SWR ) advises that it has issued 5,500,000 new fully paid ordinary shares at $0.05 per share (Placement Shares) pursuant to the placement to sophisticated investors announced on 28[th] August 2014 and approved by shareholders at the recent shareholder meeting on 17[th] October 2014.

This notice is given by the Company under section 708A(5)(e) of the Corporations Act in relation to the issue of these Placement Shares by the Company upon completion of a placement without disclosure to investors under Part 6D.2 of the Corporations Act.

As at the date of this notice, the Company has complied with:

1. the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

2. section 674 of the Corporations Act.

There is no excluded information as at the date of this notice, for the purposes of Section 708A(7) and 708A(8) of the Corporations Act.
