Ad-hoc statement according to Sect. 15 Securities Trading Act (WpHG)

Berlin, 9 July 2014

YOC AG (Frankfurt, Prime Standard, ISIN DE0005932735) announces the sale of
its subsidiary belboon GmbH having its registered office in Berlin to ARCUS
Capital AG (Munich). The bodies responsible of all companies involved have
agreed to this transaction. Both parties have agreed not to disclose the
purchasing price. A positive effect on the net income in the IFRS
consolidated financial statement of YOC Group 2014 amounting to around 3.2m
EUR is expected.

Thus, YOC AG sold its company unit Affiliate Marketing. The transaction
serves the consistent focus on the strategic core area of the company -
mobile advertising - and its further development.
