11,1embers are hereby informed lhat pursuant to Section 110 of the Companies Act, 2013, as amended (the "Act"). read wilh Rule 22 of the Companies (Management and Administration} Rules. 2014, YES BANK Limited (the 'Bank') is seeking approval from its Members by passing the resolution as set oul in the Postal Ballot Notioe dated Apnl 21, 2020 ("Notice") by way of remote electronic voling.

In terms of Secbon 110 of the Act, read with Rule 22 or 11'18 Companies (Management and Administration) Rules. 2014. and the G&neral Cil'Qllar No. 17i2020, Issued by the Mlnlslry of Corporate Affairs dated April 13, 2020 ('Circular'), this Poslal Ballot Notice has been sent by e-mail on Wednesday, Ap1il 22, 2020, only to those Members who have registered their e•mail address with lhe Bank (in respect of shares held in physical fa,m) or with their Depository Participants (in respect of sf111res held in dematerialized form) and made available to the Senk by the respective Depositories. The communicalion of lhe assent or disseril of the members would take place through lhe remote e-voting system only.

To enable participation in lhe remote e-voting process by those shareholders, to whom physical Postal Ballot Notice could not be dispatched. the Bank has made appropriate arrangements with its Regislrar & Share Transfer Agent fOf registration of email addresses. in terms of the above-mentioned Circular.
