Additional Explanations

Şirketimiz Yönetim Kurulu gündemindeki konuyu görüşmek üzere Şirket merkezinde toplanmış olup, Türk Ticaret Kanunu (TTK) ve Sermaye Piyasası Kurulu (SPK) düzenlemeleri çerçevesinde aşağıdaki hususlara oybirliği ile karar vermiştir:

1) Şirketimizin 2022 yılı faaliyetleri sonucunda SPK'nın II-14.1 sayılı "Sermaye Piyasasında Finansal Raporlamaya İlişkin Esaslar Tebliği" hükümleri uyarınca hazırlanan bağımsız denetimden geçmiş finansal tablolarına göre 994.033.771,00 TL, Vergi Usul Kanunu hükümleri çerçevesinde düzenlenmiş finansal tablolara göre ise 880.168.497,27 TL net dönem kârı elde edilmiştir.

SPK Mevzuatına uygun olarak hesaplanan 2022 yılına ait söz konusu dönem net karı üzerinden, Esas Sözleşmenin 15. maddesi gereği ve SPK Tebliğlerine uygun olarak, Yasal Yükümlülükler düşüldükten sonra kalan Net Dağıtılabilir Dönem Karının aşağıdaki şekilde dağıtılmasına,

Birinci Kâr Payı : 23.630.000,00 TL

İkinci Kâr Payı :136.370.000,00 TL

Toplam Brüt Kar Payı :160.000.000,00 TL

Genel Kanuni Yedek Akçe (1.Tertip) :44.008.424,86 TL
